No.: ……… /WDC-WEB/2026
Pursuant to the Civil Code No. 91/2015/QH13 passed by the National Assembly of Vietnam on 24 November 2015;
Pursuant to the Commercial Law No. 36/2005/QH11 passed by the National Assembly of Vietnam on 14 June 2005;
Based on the needs and capacity of both Parties.
Today, … / … / 2026, we the undersigned are:
PARTY A:
PARTY B: AAA WEBSITE DESIGN (registered business)
(Operator of the website design service AAAWeb.vn)
After discussion, the two Parties agree to sign this Website Design Contract (hereinafter the “Contract”) under the following terms:
1.1 Party B provides website design services as requested by Party A. The structure, layout (hereinafter the “Design”) and functionality of the website are discussed and agreed by both Parties before work begins.
1.2 Party B supports the following accompanying services:
a) Hosting for the scope of work defined in Article 1.1 of this Contract, specifically:
— Hosting: provided by Party A
— Domain: provided by Party A
1.3 During implementation, changes are made only where previously agreed by both Parties. The scope and timing of changes are agreed by the Parties, but the layout agreed at the outset may not be altered.
1.4 Where changes fall outside the original agreement, the Parties will, depending on the request, agree the price and method of implementation before proceeding and record them in a new memorandum. That memorandum may be regarded as a new Contract between the Parties.
2.1 Delivery time: within 7–10 working days from the date Party B receives all content and images and Party A completes the first payment under Article 3.2, Party B delivers a trial version of the website (the “demo”) for Party A to review the design, motion and behaviour. The timeline may change depending on the nature of the work and any issues arising during implementation, as agreed by both Parties. Working days exclude Saturdays, Sundays and public holidays. The timeline excludes any time Party A spends approving the layout. Revision time (if any): as agreed by the Parties.
2.2 Acceptance: Party B completes the website and carries out acceptance within 03 (three) working days after Party A approves the demo.
2.3 After the sample design is agreed and the demo delivered, Party B supports Party A with design changes before and after payment for 1 month, without altering the layout of the original sample design.
2.4 Any change to the sample design is discussed and agreed by both Parties. Depending on the case, changes are recorded in an appendix to this Contract or in a new Contract, in which case this Contract and all copies of it cease to be valid.
3.1 Contract value:
The contract value includes value-added tax (VAT).
3.2 Payment schedule: Party A pays Party B the total contract value under Article 3.1 in no more than 4 instalments as follows:
a) Instalment 1: ……………… immediately after both Parties sign this Contract (30% deposit).
b) Instalment 2: ……………… upon acceptance of the service (balance).
3.3 Payment method: Party A pays Party B via PayPal, Wise or bank transfer to Party B’s account.
3.4 Party B may cancel the Contract if Party A fails to complete payment as agreed.
4.1 Rights and obligations of Party A:
a) May raise complaints about the quality of information and services provided by Party B. Complaints must be sent to Party B in writing within 03 (three) days of the issue arising, and Party B responds within 03 (three) days of receiving them.
b) Party A may request a 100% refund of the deposit if Party B has not fulfilled its service obligations after the deadline in Article 2.
c) Provides Party B promptly with all documents and data needed to perform the Contract.
d) Pays the service fee in full and on time. In case of late payment, Party A informs Party B of the exact payment date.
e) Party A is responsible for updating website content after receiving the completed website from Party B, and is legally responsible for all content (information, images, articles, etc.) it publishes, as well as for the copyright of content and images it supplies to Party B for the design.
f) May not alter the structure or format of the website without agreement. Party B is not liable for errors caused by such changes.
g) Contacts Party B to pay renewal fees if using hosting and a domain supplied by Party B. Fees are set at the time of renewal.
h) Complies with the terms of service published on Party B’s website.
4.2 Rights and obligations of Party B:
a) Provides the services to Party A as set out in this Contract.
b) Sets up hosting for the website within 07–10 working days of this Contract taking effect, where the domain is supplied by Party B.
c) May require Party A to pay the agreed fees and to compensate actual losses if Party A terminates the Contract unlawfully.
d) Keeps Party A informed of progress. If an adverse issue arises, Party B promptly informs Party A so both can resolve it together.
e) Provides website warranty support to Party A as agreed in this Contract.
f) Has full control over the website admin account if Party A fails to meet its obligations to Party B.
g) May unilaterally terminate the Contract, suspend services and claim damages if Party A breaches the terms of this Contract.
5.1 Both Parties carry out acceptance and sign an acceptance record once Party B has completed the website as agreed (by memorandum or email between the Parties).
5.2 After acceptance, any additional request or change outside the agreed warranty scope is subject to a timeline and cost agreed by both Parties.
6.1 Party B trains Party A on using and administering the website.
6.2 Party B packages and hands over the source code and the website to Party A within 5 days of Party A paying 100% of the contract value.
6.3 Where Party A uses hosting and a domain provided free of charge by Party B, both Parties jointly manage the admin account for the first 01 (one) year from acceptance. After 01 (one) year:
a) If Party A renews the hosting: Party B assists with the renewal (cost borne by Party A, set at the time of renewal).
7.1 Lifetime warranty if Party A uses Party B’s website and hosting services.
7.2 Party B warrants the source code for life from the acceptance date, including where:
a) Party A uses hosting or a domain not supplied by Party B.
b) Party A requests self-managed hosting admin access.
7.3 Party B supports Party A with operational issues and data backups on request. Costs depend on the specific case and agreement between the Parties.
7.4 Party B has no warranty obligation if Party A modifies the hosting account or source code originally installed by Party B, and/or engages a third party to modify the website designed by Party B.
7.5 For technical support (warranty, maintenance, upgrades, changes, etc.) Party A sends requests from the email registered in this Contract to Party B’s technical team at AAAWeb@gmail.com
8.1 The Contract is concluded once both Parties have fulfilled their obligations and no complaint or claim is raised within 07 days of the source code handover.
8.2 Party A may unilaterally terminate the Contract but is not refunded amounts already paid to Party B.
8.3 Party B may terminate the Contract if Party A breaches it in a way that prevents implementation as agreed. In that case the service fee is calculated on the work Party B has actually performed.
8.4 If the Contract cannot be performed due to force majeure as defined by law, the affected Party notifies the other Party in writing within 48 hours of the event, stating its nature, expected duration and remedy (if any). If the affected Party cannot remedy the consequences within 01 month, either Party may terminate the Contract by prior written notice to the other.
